This paper analyzes Corporate Governance and power from the perspective of Agency Theory. In the 1990s, and at the beginning of the 21st century, financial scandals occurred in large corporations, despite the fact that a short time ago they had favorable reports from external auditors. In this sense, the study of Corporate Governance and Power become relevant. The objective of this research is to analyze the relationship between Corporate Governance and Power from the perspectives of agency, server and network theories. This article is a theoretical-descriptive research of documentary type. In the obtained results are presented definitions on the power in which its evolution is visualized from a mechanistic approach towards the complexity. Network theory allows a better understanding of the power relations between the internal and external coalitions of an organization. Good Corporate Governance regulates power relations among directors, shareholders, managers and interest groups. Two contrasting models of corporate governance, the Shareholders, and the Stakeholders were analyzed. Finally, we conclude on the need to have an Ibero-American model adapted to companies with a concentration of stock capital in a few hands.
